us!Job Description:This job is responsible for providing legal
counsel on matters related to corporate functions, such as
Employment and Human Resources. Key responsibilities include
reviewing legal documents, interpreting laws and regulations,
performing legal research, and communicating legal advice to
internal partners. Job expectations include directing the work of
outside counsel on related matters and coordinating the work of
Paralegals or other Legal staff.The attorney will provide legal
counsel on executive compensation and employee benefits matters
across the enterprise. Provides general legal counsel on
compensation, employment and benefits related matters, as well as
specific advice on products, services and certain legal actions.
Reviews legal contracts and documents. Directly, or through staff,
conducts legal research. May represent the bank in legal actions.
Individuals in this position typically have a minimum of six years
of experience since admission to the Bar.Responsibilities:
- Analyzes legal issues and implications on matters related to
corporate functions
- Communicates clear, concise, actionable, and business-informed
legal advice, including occasionally to leadership
- Interprets rulings, laws, and regulations
- Drafts, reviews, and/or negotiates complex legal documents,
such as regulatory filings, engagement letters, offering documents,
and legal opinions
- Gathers, assesses, and evaluates information from various
sources with an open mind to make a judgment or inference
- Supports company responses to government agency examinations
and investigations, enforcement actions, private complaints, and
litigation
- Directs the work of outside legal counsel, and may coordinate
the work of other Legal staff such as Paralegals, and trains,
mentors, or supports the development of peersSpecific duties will
include:
- Providing legal support related to employee benefit plans, such
as health and welfare plans, qualified and nonqualified retirement
plans, and cafeteria plans
- Providing legal support related to ERISA governance
- Providing legal support for international and global mobility
matters
- Providing legal advice related to executive
compensation-related disclosures, such as proxy statements
- Providing legal support for HR, compensation, and benefits
executives for matters throughout the employee and executive
lifecycle
- Providing legal support related to global regulatory compliance
for benefits arrangements

- Juris Doctor from an ABA accredited institution.
- Admitted to state bar in good standing.
- 5+ years experience practicing in the area of compensation and
benefits.
- Experience with ERISA and qualified and nonqualified
plans.
- Experience with US and internation benefit plans
- Experience with relevant SEC disclosure rules and IRC
provisions
- Ability to work collaboratively on a solutions-focused
self-directed team.
- Ability to work effectively with all levels of the
organization.
- Strong project management skills.Desired Qualifications:
- 7+ years experience practicing in the area of compensation and
benefits with a benefits focus.
- Knowledge of benefits issues related to the financial services
industry.
- Knowledge of executive compensation issues related to the
financial services industry.
- Experience with publicly traded companies.
- International benefits experience.Minimum Education
Requirement: Doctorate degree in related fieldShift:1st shift
